Terms of Service

The rules for using Adimite, on both sides of the network. Written to be read — where a term is unusual or currently a limitation, it says so rather than hiding in a clause.

The agreement

Adimite is operated by Jason Griggs trading as Adimite(“we”, “us”). These terms are a contract between you and us, and they apply whenever you use the service — as a publisher showing ads, as an advertiser buying them, or both from the same account.

By creating an account you accept these terms and our Privacy Policy. If you do not accept them, do not use Adimite.

Accounts

  • You must be old enough to enter a binding contract where you live, and if you are signing up for an organisation you must be authorised to bind it.
  • One person, one account. Running multiple accounts to work around limits, blocks or the self-dealing rules below is a breach of these terms.
  • You are responsible for what happens under your account and for keeping your password safe. Tell us promptly if you think it has been compromised.
  • Email addresses are not currently verified on signup, so an address on an account is not treated by us as proof of control of that address.

If you show ads

You place our tag on a site you own or are authorised to operate. In return you earn a share of what advertisers spend on your traffic.

  • Your share is 70% of the amount actually billed for each valid impression and click on your zones. The remaining 30% runs the network.
  • You keep control of what appears: block individual advertisers you have seen, block whole categories, or deactivate a site. Blocks take effect on the next ad request.
  • You will never be shown your own campaigns. A publisher account cannot earn from advertising it also pays for.
  • You must not modify, obscure, reposition or auto-click the ad, or present it in a way that misleads a visitor about what is sponsored.
  • You are responsible for your own site's legal obligations, including its privacy policy. Our tag sets no cookies, which is usually the only thing a visitor-facing notice would need to say about us.
  • Campaigns are not reviewed before they run yet. We may remove any campaign at any time, and you have the blocking controls above, but we do not promise that every ad shown on your site will suit it.

If you buy ads

  • You set your own rates — a cost per click and a cost per thousand impressions, at or above $0.05 and $0.50 respectively — and fund a budget from your wallet.
  • Delivery is a weighted lottery, not an auction. A higher rate wins proportionally more of the available traffic. It does not buy a guaranteed volume, a guaranteed position, or exclusivity, and we do not promise any particular number of impressions, clicks or conversions.
  • Your budget is a hard ceiling. A campaign stops the moment its budget is spent. You cannot be charged beyond the budget you funded.
  • You are charged for impressions and clicks that pass our filtering. You are not charged for events the filter rejects.
  • Deleting a campaign returns whatever budget it never spent to your wallet and stops it serving.
  • You are responsible for everything in your ad and for the page it points to, including that it is lawful, accurate, and yours to advertise.

Money, balances and payouts

An account has two separate balances: an ad wallet you spend, and publisher earnings you can withdraw.

  • Wallet top-ups are made by card through Stripe, with a minimum of $10.00. Funds credited to a wallet are for buying advertising on Adimite.
  • Earnings can be moved into your ad wallet at any time, instantly and without a fee, from $1.00 upwards. This is one-way by design. Ad-wallet funds cannot be converted into withdrawable earnings, because that would turn a card top-up followed by a payout into a cash-out route.
  • Payouts go to a Stripe Connect account you set up, with a minimum of $10.00. Requesting a payout debits your earnings immediately so the same money cannot be requested twice.
  • Payouts are reviewed before release. A human approves the transfer, which means a payout is not instant. We may hold or decline a payout while we investigate suspected invalid traffic or a breach of these terms; a declined request credits your earnings back.
  • Amounts are in US dollars. Taxes are yours to handle — we do not withhold or remit them for you, and you are responsible for declaring what you earn.
  • Where a deployment has no payment provider configured, wallet balances are a demo and no money changes hands.

Invalid traffic

Impressions and clicks are filtered before anyone is billed. Traffic from bots, from automated clients, from the same address in implausible volume, from repeated views of the same ad, and clicks that arrive faster than a person could produce are recorded but not charged and not paid.

The filter is a set of heuristics, and it is deliberately conservative — a visitor always gets a working ad and a working link, and what changes is only whether the event is billed. We may also reverse amounts credited or charged in error, or where we determine after the fact that traffic was invalid. If a reversal leaves an earnings balance negative it is recovered from future earnings.

What you may not do

  • Click your own ads, ask others to click them, offer any incentive for clicks or views, or generate impressions or clicks by any automated means.
  • Run a publisher account and an advertiser account together to move money between them, or otherwise manufacture traffic you profit from.
  • Place the tag on a site that is illegal, infringing, malicious, sexually explicit, or that exists mainly to carry ads; or misrepresent the nature or volume of your traffic.
  • Advertise malware, deceptive downloads, scams, counterfeit goods, or anything unlawful where it will be shown; or use a destination URL that differs materially from the ad.
  • Attack, probe or overload the service, bypass rate limits, or attempt to access accounts, data or endpoints that are not yours.
  • Scrape, resell, or sublicense the service or the data in it.

Your content

Your ad copy, images, site details and trade marks remain yours. You grant us the licence needed to run the service — to store your creative, and to display it on publisher sites across the network for as long as the campaign runs.

You confirm you have the rights to everything you upload. Uploaded images are stored as supplied and are limited to PNG, JPEG, WebP and GIF; SVG is refused because it can carry script. We may remove any content that breaches these terms.

Adimite's own software, branding and site content remain ours.

Suspension and termination

You may stop using Adimite at any time. We may suspend or close an account that breaches these terms, that we reasonably believe is generating invalid traffic, or that exposes us or other users to legal or financial risk.

A suspended publisher's zones stop serving. Where an account is closed for a breach involving invalid traffic, we may withhold earnings attributable to that traffic. Earnings not connected to the breach remain payable.

This is early software

Adimite is provided as is, without warranty of any kind. We do not promise that it will be uninterrupted, error-free, or that it will produce any particular revenue or result. Features listed as not built yet on the status list are exactly that, and that list is part of what you are agreeing to when you sign up — read it before you rely on the service.

Liability

Nothing in these terms limits liability that cannot lawfully be limited. In particular, where the Australian Consumer Law applies, our services come with guarantees that cannot be excluded, and nothing here excludes, restricts or modifies them.

Subject to that, we are not liable for indirect or consequential loss, lost profits, lost revenue, lost data or lost goodwill; and our total liability to you for any claim is limited to the greater of the amount you paid us, or the amount we owed you, in the three months before the claim arose.

You agree to cover us against claims arising from your content, your site, your ads, or your breach of these terms.

Changes and governing law

We may change these terms. If a change is material we will update the date at the top and tell account holders by email. Continuing to use Adimite after a change means you accept it; if you do not, close your account.

These terms are governed by the laws of South Australia, Australia, and disputes go to the courts there. If any part is found unenforceable, the rest continues to apply.
